Acceptance of these terms

These Terms & Conditions govern access to and use of the CMS Nexus website, the CMS Nexus software platform and the professional services offered by CMS Nexus (together, the “Services”). By accessing the website, starting a trial, subscribing to a plan or contracting a service, you agree to these terms on your own behalf or on behalf of the business you represent, and you confirm that you have authority to do so.

If you do not agree with these terms, do not use the Services. Specific orders, proposals or service agreements may add terms; where they conflict with these terms, the specific order prevails for that engagement.

Definitions

  • “Customer”: the business or person that creates an account, subscribes to a plan or contracts a service.
  • “Software”: the CMS Nexus platform and its plans (Basic, Growth and Professional).
  • “Professional services”: services delivered by the CMS Nexus team, such as Nexus B2B Global, Nexus Smart Secretary, Nexus Prime 360, Nexus Talent 360, marketing services and Nexus Host Hub.
  • “Order”: the plan selection, proposal or service agreement accepted by the Customer.
03

Accounts and access

Customers must provide accurate and complete business information and keep it up to date. You are responsible for all activity under your account and for protecting your credentials. Use only the official Client Login to access your account and never send passwords through a website form, chat or email.

Notify CMS Nexus promptly through the Contact page if you suspect unauthorized access to your account.

04

Software plans and trial

The software trial lasts 15 days. The Basic, Growth and Professional plans include defined user and contact limits, as described on the pricing page. When the trial ends, access is blocked until a paid plan is selected.

Plans renew for successive billing periods (monthly or annual) until cancelled. Additional users, usage-based charges and optional add-ons are billed as described in the Service & Billing Policies.

05

Professional services

Professional services require a defined Order stating deliverables, capacity, schedule, responsibilities, additional charges and approval requirements. A website inquiry, consultation request or chat conversation does not create a service contract. Work starts only after the Customer approves the proposal.

Services are not unlimited: scope, capacity (such as operator hours or recruitment processes) and any additional charges are defined before the service starts. Nexus Talent 360 covers up to ten recruitment processes per package and does not guarantee a number of hires.

06

Support and implementation

One free support hour is provided per subaccount, and each software subscription includes one hour of initial guidance. Additional support is charged. Platform glitches are handled without support charges. Full system setup, configuration, integrations, data migration and custom automations are separate professional services, scoped and priced before work begins.

07

Customer responsibilities

Customers are responsible for the content, data, contact lists and instructions they provide or upload, and for using the Services in compliance with the laws that apply to their business, including consent requirements for calls, text messages and emails. Customers must follow the Acceptable Use Policy.

08

Content, permissions and intellectual property

Customers must hold the necessary rights to the materials and communication lists they supply and grant CMS Nexus the permissions needed to deliver the Services. Creative ownership, licenses, approvals and transfer obligations for deliverables are stated in each service agreement.

The CMS Nexus name, logo, website, software and materials remain the property of CMS Nexus or its licensors. No rights are granted except those expressly needed to use the Services during an active subscription or engagement.

09

Third-party services

Some features rely on third-party providers, such as telephone carriers, messaging and email networks, AI models, domain registries and hosting. Their availability and pricing may change and may be subject to their own terms. Usage-based charges from these providers are passed on as described in the Service & Billing Policies.

10

Fees, billing and cancellation

Fees, billing periods, extras, cancellation and refunds are governed by the Service & Billing Policies, which form part of these terms.

11

Suspension and termination

CMS Nexus may suspend or terminate access to the Services if fees are overdue, if the Acceptable Use Policy is breached, if required by law, or if the use of the Services creates a security or legal risk. Where reasonable, CMS Nexus will give notice before suspending. Customers may stop using the Services and cancel as described in the Service & Billing Policies.

12

Disclaimer

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, CMS Nexus disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. CMS Nexus does not guarantee specific business results, such as sales, leads, hires or rankings, unless expressly stated in a signed Order.

13

Limitation of liability

To the maximum extent permitted by law, CMS Nexus will not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill. CMS Nexus’s total liability arising from the Services is limited to the amounts paid by the Customer for the affected Service during the three months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited under applicable law.

14

Indemnification

Customers agree to indemnify and hold CMS Nexus harmless from claims, damages and costs arising from their content, their communications to third parties, their breach of these terms or their violation of applicable law.

15

Changes to these terms

CMS Nexus may update these terms to reflect changes in the Services or legal requirements. The updated version is published on this page with a new “last updated” date. Continued use of the Services after an update means acceptance of the updated terms. Material changes affecting active paid subscriptions will be communicated in advance.

16

Governing law and contact

These terms are governed by the laws that apply to the CMS Nexus entity named in your Order or invoice. Before starting any formal dispute, both parties agree to try to resolve the matter in good faith by contacting each other. Questions about these terms can be sent through the Contact page.
